1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Majixa (Pvt) Ltd ("Majixa," "we," "us," or "our"). By accessing or using our website at majixa.com(the "Site") or any related services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you must not use the Site or our services. We may require you to accept these Terms explicitly when using certain features (e.g. contact forms or future account-based services).

2. Description of Services

Majixa is a technology company focused on building and operating its own software products, and on select custom development and partnership projects. The Site provides information about our company, our products and services, and allows you to contact us. Use of the Site is for informational and communication purposes only. Any separate commercial agreements for our products or services will be governed by their own terms and conditions.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms to use the Site. By using the Site, you represent and warrant that you meet these requirements. You may view and download content for your personal, non-commercial use only. You must not copy, modify, distribute, sell, or create derivative works from any part of the Site without our prior written consent. "Majixa" and associated logos and marks are our trademarks; unauthorised use is prohibited.

6. Orders and Payments

When you make a payment through our website (e.g. for products, services, or subscriptions), you agree to provide accurate and current billing and payment information. Payments are processed securely through our trusted third-party payment gateway(s). We do not store your full payment card details on our servers; the payment processor handles card data in accordance with applicable security standards. By completing a payment, you authorise us to charge the agreed amount (including any applicable taxes or fees) to your chosen payment method. We reserve the right to refuse or cancel any order or payment for reasons including suspected fraud, product or service unavailability, or pricing errors. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAJIXA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAJIXA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (USD 100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless Majixa and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms or any applicable law; or (c) your violation of any third-party rights. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without cause or notice, including for breach of these Terms. Upon termination, your right to use the Site ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 5, 6, 8, 9, 10, 12, and 13) shall survive. You may stop using the Site at any time; continued use after we post updated Terms may constitute acceptance of those Terms.

12. Modifications to Terms and Service

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated by a notice on the Site or, where appropriate, by email. Your continued use of the Site after the effective date of changes constitutes your acceptance of the revised Terms, except where applicable law requires your explicit consent. If you do not agree to the new Terms, you must stop using the Site. We may also modify, suspend, or discontinue the Site or any part of it at any time without liability to you.

13. General Provisions

Entire agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Majixa regarding the Site and supersede any prior agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of Sri Lanka. You agree to submit to the personal jurisdiction of such courts. Nothing in these Terms limits your right to bring a claim in your country of residence where applicable law permits.
